One of the shareholders is a foreign company: is that an issue?

  • If the foreign company is a minority shareholder, this should not be a problem, the registration deadlines with the RCS normally remain unchanged.
  • If the foreign company is the majority shareholder, its corporate officer will have to complete a declaration of persons of significant control (PSC). Following the ordinance of 1 December 2016, which strengthens the French anti-money laundering and terrorist financing regulations, companies incorporating with the RCS must identify their persons of significant control. Administrative verifications of the register of persons of significant control of the company by the administration may lengthen the amount of time the application is before the RCS.
